These API & Documentation Terms (these “Terms”) govern your access to and use of the B5 Secure technical documentation, sample code, project templates, and any developer services or credentials B5 Secure makes available (collectively, the “Developer Materials”). They are entered into between you and B5 SECURE LLC (“B5 Secure”) and supplement the Terms of Use and any license agreement that applies to the B5 Secure software.

1.Scope; Acceptance

By accessing or using the Developer Materials, you agree to these Terms. They govern the documentation, sample code, and templates only; production use of the B5 Secure software is governed by the Integration & Developer License or the Production License, as applicable.

2.License to Documentation and Sample Code

Subject to these Terms, B5 Secure grants you a limited, non-exclusive, non-transferable license to access and use the Developer Materials to evaluate, learn, and build integrations with the B5 Secure software. You may incorporate sample code and templates into your own applications, provided your use of the B5 Secure software in those applications is licensed under the applicable agreement. As between the parties, you own your applications and the original code you author; B5 Secure and Todd Yancey retain all rights in the Developer Materials.

3.Developer Credentials and Security

If B5 Secure issues you credentials, keys, or tokens for any developer service, you must keep them confidential, use them only as permitted, and remain responsible for activity under them. Notify security@b5secure.com promptly of any suspected compromise. B5 Secure may rotate, suspend, or revoke credentials to protect the integrity of its services.

4.Acceptable Use and Limits

You will not: (a) use the Developer Materials or any developer service in violation of law; (b) exceed published rate limits or place an unreasonable load on a service; (c) probe, scan, or circumvent the security of a service except under an authorized testing program; or (d) use the Developer Materials to build a product that competes with the B5 Secure software. Additional limits may appear in the Documentation or the Acceptable Use Policy.

5.Sample Code and Templates

Sample code and templates are provided to illustrate integration and are furnished “AS IS,” without warranty. You are responsible for reviewing, testing, and securing any code you adopt from them before use in your environment.

6.Feedback

You grant B5 Secure a perpetual, irrevocable, worldwide, royalty-free license to use any feedback you provide regarding the Developer Materials or services, without restriction or obligation.

7.Confidentiality

Non-public Developer Materials, including preview or beta features and documentation marked confidential, are Confidential Information of B5 Secure and are subject to the Mutual NDA where one is in effect. You will not disclose non-public Developer Materials except as permitted.

8.Intellectual Property

The Developer Materials, including documentation, sample code, templates, and the B5 Secure marks, are owned by Todd Yancey and B5 Secure. Except for the limited license in Section 2, no rights are granted.

9.Disclaimers; Limitation of Liability

THE DEVELOPER MATERIALS AND ANY DEVELOPER SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, AND B5 SECURE DISCLAIMS ALL IMPLIED AND STATUTORY WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, B5 SECURE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, AND ITS TOTAL AGGREGATE LIABILITY ARISING OUT OF THE DEVELOPER MATERIALS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100), OR, WHERE THE DEVELOPER MATERIALS ARE ACCESSED UNDER A PAID LICENSE, THE LIABILITY CAP IN THAT LICENSE.

10.Changes

B5 Secure may update the Developer Materials, deprecate features, or change rate limits at any time. We will use reasonable efforts to communicate material breaking changes through the Documentation or developer channels.

11.Governing Law; General

These Terms are governed by California law, without regard to conflict-of-laws principles, with exclusive venue in San Mateo County, California. They supplement the Terms of Use and, where applicable, a license agreement; in a conflict regarding the software, the license agreement controls.
